These Terms of Use ("Terms") govern your access to and use of Arenis's websites, mobile applications, and related services (the "Services"). By accessing or using the Services, you agree to these Terms.

Eligibility

You must be able to form a binding contract in your jurisdiction and meet any minimum age requirements we specify for the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

Accounts

You are responsible for safeguarding your credentials and for activity under your account. Notify us promptly of unauthorized use. We may suspend or terminate accounts that violate these Terms or create risk for other users.

Acceptable use

You agree not to:

• Violate applicable laws or regulations;
• Harass, threaten, or harm others, or post unlawful, hateful, or exploitative content;
• Impersonate others or misrepresent your affiliation;
• Attempt to access accounts or systems without authorization;
• Interfere with or disrupt the Services, including by introducing malware or excessive load;
• Scrape, data-mine, or automate access except as we expressly permit;
• Use the Services for spam, deceptive practices, or unsolicited commercial messages.

User content

You retain rights to content you submit. You grant us a worldwide, non-exclusive license to host, store, reproduce, modify, display, and distribute your content as needed to operate, promote, and improve the Services. You represent that you have the rights to grant this license. We may remove content that violates these Terms or that we reasonably believe is harmful.

Third-party services

The Services may link to or integrate third-party services. Those services are governed by their own terms and privacy policies. We are not responsible for third-party services.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARENIS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED US DOLLARS (USD $100) OR THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM (IF ANY).

Indemnity

You will defend and indemnify Arenis against claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Services, or your violation of these Terms.

Governing law

These Terms are governed by the laws of the jurisdiction we designate for your region, without regard to conflict-of-law principles. Courts in that jurisdiction will have exclusive venue, unless applicable law requires otherwise.

Changes

We may modify these Terms at any time. We will post the updated Terms and update the "Last updated" date. If changes are material, we may provide additional notice. Your continued use after changes become effective constitutes acceptance.

Termination

You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms or if we discontinue the Services. Provisions that by their nature should survive will survive termination.
